Terms of Service
The terms on which Federal IQ LLC provides Aextil Federal.
Effective Date: September 14, 2026
Last Updated: September 14, 2026
These Terms of Service (“Terms”) govern access to and use of Aextil Federal, a software platform operated by Federal IQ LLC (“Aextil,” “we,” “us,” or “our”). By creating an account, accessing the Service, purchasing a subscription, or otherwise using Aextil Federal, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent.
1. Authority to Agree
If you use Aextil Federal on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
2. The Service
Aextil Federal provides software tools intended to assist government contractors with identifying and evaluating opportunities, organizing business-development information, managing pursuits, reviewing procurement requirements, organizing company capabilities and past performance, and preparing draft response materials.
Aextil is a decision-support and workflow platform. It does not replace the customer’s independent judgment, legal counsel, contracting professionals, accountants, compliance personnel, or other advisers.
3. Customer Responsibility for Data
You retain ownership of information, documents, files, text, records, and other materials that you or your users upload or provide to the Service (“Customer Data”).
You represent and warrant that you have all rights, permissions, consents, licenses, and authority necessary to upload, disclose, store, process, and use Customer Data through Aextil Federal.
You are solely responsible for the legality, accuracy, quality, integrity, and authorization of Customer Data and for determining whether particular information may lawfully and contractually be provided to Aextil.
You may not upload or provide information that you do not have the lawful or contractual right to disclose.
4. Restricted and Regulated Information
Unless Federal IQ LLC expressly agrees otherwise in a separate written agreement identifying an approved environment and applicable safeguards, you must not upload classified information, export-controlled information, Controlled Unclassified Information (CUI), protected health information, payment-card data, government credentials, passwords, private cryptographic keys, or other information requiring security or compliance controls that Aextil has not expressly agreed to provide.
You are responsible for determining whether your data is subject to contractual, governmental, regulatory, security, export-control, privacy, or other restrictions before uploading it.
5. Third-Party and Confidential Information
You must not upload confidential, proprietary, copyrighted, trade-secret, or other protected information belonging to a third party unless you have sufficient authorization to provide and use that information through the Service.
6. Government Contracting and Submissions
Aextil may help identify Government questions, requirements, opportunities, potential response language, relevant past performance, and other information. All outputs are provided as assistance only.
The customer remains solely responsible for reviewing, validating, approving, and submitting all information provided to any Government agency or other third party.
Before submission, the customer is responsible for confirming the accuracy and completeness of factual statements, certifications, representations, eligibility claims, pricing, past-performance information, personnel information, socioeconomic or set-aside representations, contract requirements, and all other submission content.
Aextil is not authorized to make legally binding certifications, representations, bids, proposals, or Government submissions on a customer’s behalf unless separately agreed in writing.
7. Automated and AI-Assisted Outputs
The Service may use automated systems, machine learning, artificial intelligence, retrieval systems, or similar technologies to analyze information and generate recommendations or draft content.
Such outputs may contain errors, omissions, outdated information, or interpretations that require human review. You agree not to rely on automated output as the sole basis for a legally binding, regulatory, contractual, safety-critical, or Government submission decision.
8. Users and Account Security
You are responsible for activity occurring through your account and for users you authorize to access your workspace. You must maintain reasonable account security and promptly notify us of suspected unauthorized access.
9. Acceptable Use
You may not use the Service unlawfully, interfere with its operation, attempt unauthorized access, reverse engineer the Service except where legally permitted, introduce malicious code, misuse third-party information, or use the Service to infringe the rights of others.
10. Subscription and Payment
Paid access is provided according to the subscription, order, proposal, or customer agreement applicable to your account. Unless otherwise stated in writing, subscription fees are billed in advance on a recurring basis.
You authorize Aextil and its payment processor to charge the payment method you provide for amounts due.
Cancellation prevents future renewal charges after the applicable subscription period, subject to any separate written customer agreement. Fees already paid are non-refundable except where required by law or expressly provided in a written customer agreement.
11. Intellectual Property
Federal IQ LLC and its licensors retain all rights in the Service, software, workflows, interfaces, designs, technology, and related intellectual property.
Except for Customer Data, no ownership rights are transferred to you under these Terms.
You grant Aextil a limited right to host, process, transmit, reproduce, and otherwise use Customer Data solely as reasonably necessary to provide, secure, maintain, and improve the Service and fulfill our contractual obligations.
12. Confidentiality
Each party will use reasonable care to protect confidential information received from the other party and will use such information only as necessary to perform obligations or exercise rights relating to the Service, except where disclosure is required by law.
13. Suspension and Termination
We may suspend or restrict access if we reasonably believe an account presents a security risk, violates these Terms, infringes third-party rights, is being used unlawfully, or creates material risk to Aextil, its customers, or third parties.
14. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE MAXIMUM EXTENT PERMITTED BY LAW. AEXTIL DOES NOT WARRANT THAT THE SERVICE OR ANY OUTPUT WILL BE ERROR-FREE, COMPLETE, CURRENT, OR SUITABLE FOR ANY PARTICULAR PROCUREMENT, CONTRACT, LEGAL, REGULATORY, OR BUSINESS PURPOSE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDERAL IQ LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST CONTRACTS, LOST BUSINESS OPPORTUNITIES, OR LOSS OF DATA ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FEDERAL IQ LLC’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY THE CUSTOMER TO FEDERAL IQ LLC DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
16. Customer Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Federal IQ LLC and its officers, employees, contractors, and affiliates from third-party claims arising from Customer Data, your unlawful or unauthorized use of the Service, your violation of these Terms, or your infringement or misuse of another party’s rights or confidential information.
17. Changes
We may update these Terms from time to time. Material changes will be reflected by updating the “Last Updated” date and, where appropriate, providing additional notice.
